Our Spring, TX client is in need of a Corporate Counsel for a Direct Hire opportunity.

Our client is a rapidly growing energy services provider with over 1500 employees and multiple locations throughout Texas and the surrounding areas.

Key responsibilities of this position include:
Provide analysis on key strategic and financial decisions of the company, including assistance with complex transactions such as mergers, acquisitions, equity transactions, secured and revolving credit facilities and large asset purchases.
Manage third party service contracts and compliance, including negotiating and drafting master service agreements with customers and subcontractors, reviewing supplier agreements, and generally overseeing subcontractor and supplier compliance.
Work closely with senior management to develop, implement and enforce corporate governance and risk management policies as well as company policies, procedures and guidelines for compliance with applicable laws, orders, rules and regulations, including those related to environmental laws and administrative laws.
Investigate and evaluate incidents, claims, alleged violations, and lawsuits. Work with insurance companies and outside counsel to develop and execute litigation and/or settlement strategy in order to resolve disputes economically and expeditiously.
Provide ongoing assistance to project management teams to ensure compliance with customer, regulatory and legal requirements for services performed and adherence to company protocols in handling incidents and issues.
Perform tax and regulatory research and planning to assist various financial and accounting departments within the company.
Provide legal counsel, contract drafting and negotiation for management in a variety of legal areas including all manner of third party contracts, risk management, construction law and liens, real estate law, employment law, commercial disputes, and a wide range of corporate and commercial matters.

Ideal candidate will have the following qualities:
J.D. Degree with a minimum of two years of relevant legal experience.
Experience in the construction or energy services industries preferred.
Must have strong management and leadership skills to oversee other legal department employees.
Comfort with multi-level organizational leadership, managing external partners and resources, working across multiple departments, and reporting directly to senior management.
Availability to work full-time, although schedule may be flexible depending on the experience and qualification of the candidate.
Ability to work independently without oversight and take initiative to solve problems and improve processes as needed.
Excellent negotiating, drafting, and communication skills.
Strong customer service attitude and ability to view role from greater business perspective.
Strong interpersonal and organizational skills.
